01The agreement
These Terms of Service govern your use of businescope.com and the Businescope applications and reporting services (together, the "Services"), provided by Businescope Apps LLC, 626 Sheepshead Bay Road, Brooklyn, NY 11224, USA ("Businescope", "we", "us").
By using the Services you accept these Terms. If you accept on behalf of a company, you confirm you are authorized to bind it, and "you" means that company.
Where you have signed a separate services agreement or order form with us, that document controls and these Terms fill the gaps.
02What we provide
We connect your data sources, normalize the data, and deliver integrated reports through our applications, on the plan you subscribe to. The specific sources, reports, update schedule, and support scope are set out in your order form or quotation.
We may improve, modify, or replace parts of the Services. If a change materially reduces functionality you rely on, we will tell you in advance.
03Accounts and access
You are responsible for the accuracy of the account information you give us, for keeping credentials confidential, and for everything done under your account. Tell us promptly at at@businescope.com if you suspect unauthorized access.
You may give access to your own employees and, where your plan allows, to partners. You remain responsible for how they use the Services.
04Fees, invoicing, and renewal
Fees, the subscription period, and the payment schedule are set out in your quotation or order form. Invoices are due on the date stated on the invoice. Fees are exclusive of taxes, which you are responsible for except for taxes on our income.
Unless your order form says otherwise, subscriptions renew for successive periods of the same length. Either party may decline renewal by giving notice at least 30 days before the end of the current period.
If an invoice remains unpaid, we may suspend the Services after giving you written notice and a reasonable opportunity to pay.
05Your data
Your data stays yours. You grant us only the rights we need to host, process, normalize, and report on it in order to provide the Services, and to keep backups.
We do not sell your data, use it for advertising, or use it to train machine learning models. We process personal information contained in your data as a processor on your documented instructions, as described in our Privacy Policy.
You are responsible for having the right to give us the data you connect, and for any consents required from the people it describes.
On termination we delete or return your data within 30 days, per section 9.
06Our intellectual property
The Services, the applications, connectors, report templates, documentation, and everything we develop in providing them remain our property or that of our licensors. Nothing in these Terms transfers ownership to you.
You get a non-exclusive, non-transferable right to use the Services during your subscription period, for your own business purposes.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
07Acceptable use
You agree not to:
- Resell, sublicense, or provide the Services to third parties as a service of your own, unless we agree in writing
- Reverse engineer, decompile, or attempt to derive the source code of the applications
- Interfere with the security, integrity, or performance of the Services
- Upload material that is unlawful, infringing, or that you have no right to provide
- Use the Services to build a competing product
08Warranties and disclaimers
We will provide the Services with reasonable skill and care, by suitably qualified people.
Beyond that, the Services are provided "as is". To the maximum extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that reports will be free of errors originating in your source data.
Reports are decision support, not professional advice. You remain responsible for the financial, tax, and management decisions you make using them.
09Limitation of liability
Neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, even if advised of the possibility.
Each party's total liability arising out of or relating to these Terms is limited to the fees you paid or owed for the twelve months before the event giving rise to the claim.
Nothing here limits liability that cannot be limited by law, including for fraud or willful misconduct.
10Term and termination
These Terms apply for as long as you use the Services. Either party may terminate for material breach if the breach is not cured within 30 days of written notice.
On termination your access ends, accrued fees remain payable, and we delete or return your data within 30 days; residual copies in encrypted backups are overwritten within a further 90 days. Sections on your data, our intellectual property, warranties, liability, and governing law survive.
11Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules. The state and federal courts located in Kings County, New York have exclusive jurisdiction, and both parties consent to venue there.
Before filing anything, please contact us at at@businescope.com — most disputes are faster to resolve directly.
12General
Assignment. Neither party may assign these Terms without the other's written consent, except to a successor in a merger or sale of substantially all assets.
Force majeure. Neither party is liable for delays caused by events outside its reasonable control.
Severability. If a provision is unenforceable, the rest stays in force.
Entire agreement. These Terms, your order form, our Privacy Policy, and our SMS Terms are the whole agreement between us on this subject.
Changes. We may update these Terms; we will revise the last-updated date and notify account holders of material changes before they take effect.
